WELCOME TO THE TERMS AND CONDITIONS GOVERNING USE OF THIS ONLINE BOOKING SYSTEM (THE "TERMS AND CONDITIONS"). THESE TERMS AND CONDITIONS SET OUT THE RIGHTS AND OBLIGATIONS OF ALL AGENTS AND USER ( EITHER AS INDIVIDUALS OR AS A GROUP )

HOW THE SYSTEM WORKS; BEFORE YOU CLICK ON THE "CONFIRM" BUTTON AT THE END OF THE BOOKING PROCESS, PLEASE CAREFULLY READ THESE TERMS AND CONDITIONS. Parties:
These terms and conditions are made between VANILLA TOURS online booking systems and whosoever shall use this online booking system ( " THE AGENT " ).

Terms of Service:
You agree that your bank transaction/bank loating or credit card will be charged for the full amount of your reservation when VANILLA TOURS accepts your reservation order. The cost of your reservation is the total of: the indicated room rate multiplied by the number of days in your reservation. Vanilla Tours provides information concerning the available hotels: hotel classification, comfort and features, level of equipment and rates supplied by each hotel.VANILLA TOURS offers the possibility for the agent to select the desired hotel. Once the reservation is confirmed it is fully guaranteed by VANILLA TOURS. Should the hotel chosen by the client have no vacancies for the required room type and dates, the agent accepts that Vanilla Tours find another hotel with similar features to meet the reservation.

Use of Online Booking System:
The Agent may only use the Online Booking System to make legitimate enquiries or bookings and hereby undertakes not to make any speculative, false or fraudulent booking or any booking in anticipation of demand. The Agent also undertakes to provide correct and accurate e-mail, postal and/or other contact details to Vanilla Tours and acknowledges that VANILLA TOURS may use these details to contact the Agent in the event that this should prove necessary.

Making a Booking:
A legally binding booking shall only exist when the required details are inputted on the relevant Online Booking System web-page by the Agent and when the booking is confirmed by the Agent clicking the "Confirm" button on the appropriate Online Booking web-page. The Agent acknowledges that he/she understands that by clicking on the said "Confirm" button, he/she is authorising VANILLA TOURS to make the booking and to debit his/her credit card or agent bank transaction/bank loating in the manner indicated on the Online Booking System.

Confirmation:
VANILLA TOURS confirms the reservation at online by stating the reservation details, name of hotel, booking dates, number of persons. VANILLA TOURS is not obliged to send confirmation voucher by fax or e-mail to confirm a reservation if it is already confirmed by the online booking system. The voucher which features the name of the hotel, dates of booking, room rate and total reservation amount can be printed online by the agents and users. A full payment will be required to confirm the booking. The voucher is the official document proving to the hotel manager that the client's stay has been paid in full. This voucher must be signed and presented upon arrival at the hotel reserved. In case of cancellation, the terms of cancellation policy will apply.

Prices and Payment:
The price for the services provided by VANILLA TOURS is as specified on the Online Booking System form. Payment must be made before the deadline date at the contracted check-in date of the hotel at full by bank transaction/ bank loating or credit card. VANILLA TOURS will also send a Credit card Payment Sheet to the Agent for reminding and approval the debit of the reservation cost at before end of the deadline. In case if the system does not send a Credit card Payment Sheet until the deadline we request the payment to be made directly to VANILLA TOURS. Remind that no reservation will be definite without a payment. If any agent or user does not cancel the reservation before the deadline they accept the responsibility of paying the no-show charges without any discussion. Prices quoted are (unless otherwise specified) to cover room, breakfast (check it on our system), taxes and local services. VANILLA TOURS endeavours at all times to charge discounted prices. Where the Agent should see a published room rate which is lower than the price paid to VANILLA TOURS for the room booked and is unsatisfied with the same, they should check, prior to making a complaint to VANILLA TOURS, whether the published room rate relates to room only or room, breakfast, local services and taxes as per the Agent's booking with VANILLA TOURS. Furthermore during trade fairs or other festivals, hotels often impose supplements or do not give their usual reductions so that the price paid by the Agent may be higher than the hotel's published rate. The Agent acknowledges that VANILLA TOURS do not have any control over this. VANILLA TOURS processes the payment for reservations; the only payments made at the hotel are extras incurred during the stay.For each reservation made, VANILLA TOURS will debit the full reservation amount. To pay for the reservation, the agent may choose between the following

Credit cards:
Visa and Mastercard is accepted.The agent making a reservation must be entitled to use the credit card. Vanilla Tours shall not be held responsible for payments made by persons without such entitlement. The hotel is paid by Vanilla Tours or its nominee following payment of the reservation by the agent to Vanilla Tours.

Responsibility:
By using VANILLA TOURS system, the Agent confirms that he/she (and/or anyone using the Agent's log-in information) is able and willing to meet any liability incurred as a result thereof.

Cancellations by Vanilla Tours:
In the event of a confirmed booking being unavailable, VANILLA TOURS will endeavour to offer an alternative hotel of the same or similar standards in the same location,or offer a full refund if preferred. VANILLA TOURS will also endeavour to contact the agent prior to departure and advise him/her of this unavailability. However, the agent acknowledges that this will not always be possible. Where it is not possible to contact the agent prior to departure , VANILLA TOURS will endeavour to ensure that the relevant hotel looks after any change of accommodation as quickly and efficiently as possible. In case of a suspicious or stolen card details entered into the system VANILLA TOURS will cancel the reservation without noticing the agent or the user. If any booking is against any of the Hotel’s or Supplier’s terms and conditions policy or contracts, Licensor reserves the right to cancel that booking and cannot be held responsible.
 
Cancellation by the Agent:
Each reservation confirmed by voucher requires a customer service agent to process the reservation manually. Once a booking has been confirmed by VANILLA TOURS, it is considered a firm booking.Cancellation charges apply as follows: 1.THERE IS NO CANCELLATION FEE FOR ANY CANCELLATION BEFORE THE DEADLINE PRIOR TO ARRIVAL DATE. THE SYSTEM IS SHOWING YOU THE DEADLINE AUTOMATICALLY. 2.ANY CANCELLATIONS AFTER OUR SYSTEM MARKED DEADLINE OF CONTRACTED ARRIVAL OR AT ANY POINT DURING THE DURATION OF THE BOOKING WILL BE SUBJECT AS GENERAL TO A CHARGE OF FIRST NIGHT STAY OF THE BOOKING. REMIND THAT SOME HOTELS HAVE DIFFERENT CANCELLATION POLICIES AT THEIR OWN, VANILLA TOURS WILL REFLECT THE SPECIAL CANCELLATION POLICIES TO OUR AGENT'S IN CASE IF THE HOTELS ARE REFLECTED TO US. As a general rule, cancellations made before deadline which is given with confirmation in advance to the entrance of the client could generate charges, with a different amount depending on destination, date and hotel.Exceptions: During Fairs, Special Events or particular conditions of the reservation, the latest date for cancelling without any charge shall be specified at the moment of the confirmation. On occasions, particularly during fair periods it may be necessary to vary these terms in accordance with terms laid down by our suppliers. VANILLA TOURS reserves the right to alter this charging structure in such circumstances by notifying the Agent in advance. Cancellations and/or amendments of bookings will only be valid if effected through the Online Booking System or received by VANILLA TOURS in writing. Should the Agent fail to notify VANILLA TOURS of a cancellation or should the Agent fail to arrive (No Show), no refund will be due to the Agent. All cancellations must be made by means of the petitioner Agent. If the Agent or VANILLA TOURS were closed for being in no working hours or publical holidays, the client shall notify directly to the hotel the cancellation or modification of the reservation, noting down the reference, the name of the person who mind him, date and hour. It must be notify as soon as possible to the Agent in order to communicate with VANILLA TOURS.

Star Ratings and quality of Accommodation:
The Agent acknowledges that star ratings may vary in quality from country to country and cannot be relied on to identify the quality of the accommodation. The Agent acknowledges that the star rating is merely a general outline and may not apply in each case. Similarly, the Agent acknowledges that the type of rooms provided by a hotel (i.e. single, double,  twin, triple) may also vary from country to country. In addition the client acknowledges that a triple room is a room suitable for three adults containing two twin beds or one double bed plus one extra bed. Please note the extra bed may be a pull down or roll away bed as most hotels do not have one full size bed for each guest in their triple rooms. It is the responsibility of the Agent to check the type of the accommodation and services provided by each hotel. The contact details of each hotel which may be booked via this Online Booking System are set out in the web site.

Accuracy of Information:
VANILLA TOURS and its suppliers have taken reasonable care to ensure that the content of the Online Booking System including all hotel information and listings are accurate.The hotel information and listings are compiled from information provided by the hotels that are listed. VANILLA TOURS publishes such information in good faith. THE AGENT ACKNOWLEDGES AND ACCEPTS THAT ..

CANNOT BE HELD RESPONSIBLE FOR ANY INACCURACIES IN SUCH INFORMATION OR CAN LIABILITY BE ACCEPTED FOR CHANGES TO FACILITIES WHICH ARE NOT NOTIFIED TO TS BY THE HOTEL IN QUESTION. THE AGENT ALSO ACKNOWLEDGES THAT WHILE ..

ENDEAVOURS TO KEEP ACCURATE AND UP-TO-DATE ALL INFORMATION CONTAINED ON THIS ONLINE BOOKING SYSTEM.

CANNOT BE RESPONSIBLE FOR ERRORS, OMISSIONS OR MISLEADING INFORMATION CONTAINED IN THE HOTEL LISTINGS OR INFORMATION. (II) THE HOTEL LISTINGS OR INFORMATION MAY INCLUDE ERRORS.

Hotel Facilities:
The Agent acknowledges that the availability of the facilities and features listed for each hotel are under the direct control of the hotel and as such VANILLA TOURS cannot be held responsible if those facilities or features are not made available to the client during period of the Agent's booking. If a facility or feature is of particular importance to the client (in particular seasonal facilities such as outdoor swimming pools and air conditioning), then the Client should check with VANILLA TOURS or the hotel that this facility or feature will be available during the Client's dates of stay.

Complaints:
Any complaint regarding the Hotel should be notified to the Hotel Reception desk or to the relevant Hotel Representative during the Client's stay at the hotel and the hotel management must be given adequate opportunity to rectify the situation from the outset. Where any such complaint is not rectified by the hotel in question to the Client's satisfaction, the Client should contact VANILLA TOURS immediately and Vanilla Tours will endeavour to assist. Should the Client remain unsatisfied a further complaint should be made in writing to VANILLA TOURS not later than seven days after termination of the hotel stay. All complaints should be sent to customer.services@VanillaTours.com Where possible, the written complaint to VANILLA TOURS should be supported by photographs or other written/visible proof of the complaint.

Consequential Loss:
UNDER NO CONDITIONS AND IN NO EVENT SHALL VANILLA TOURS OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL OR SPECIAL DAMAGES OR LOSSES, HOWEVER ARISING, (INCLUDING, BUT NOT LIMITED TO NEGLIGENCE OR BREACH OF THESE TERMS AND CONDITIONS OR OTHERWISE) OR FOR ANY LOSS OF DATA, PROFIT, REVENUE OR BUSINESS, HOWSOEVER CAUSED EVEN IF THAT LOSS OR DAMAGE WAS FORESEEABLE BY, OR THE POSSIBILITY OF IT WAS BROUGHT TO THE ATTENTION OF

Assignment:
The Agent may not assign, convey, sub-contract or delegate any rights, duties or obligations hereunder except with the written consent of VANILLA TOURS.
Electronic Communications:
You communicate with VANILLA TOURS electronically whenever you visit VANILLA TOURS or send emails to us. You accept to receive communications from VANILLA TOURS electronically and by fax. We will communicate with you by posting notices on this site, by email or by fax. You agree that all notices, disclosures, agreements and other communications that we provide to you electronically or by fax satisfy any legal requirements that communications be in writing.

Intellectual Property:
The Agent acknowledges that all copyright, trademarks and other intellectual property rights in and relating to this Online Booking System are solely owned by or licensed to VANILLA TOURS. The content or data found on the Online Booking System may not be reproduced, sold, transferred or modified without the prior written consent of VANILLA TOURS. Neither may the Agent modify, duplicate, display, copy, reproduce, licence, publish, transfer or sell any information, software, products or services obtained from the Online Booking System without the prior written consent of VANILLA TOURS.The Agent further acknowledges that he/she must not use any of these intellectual property rights, except to the extent necessary to make a booking in the manner anticipated by these terms and conditions.

System Integrity:
The usage of any device, routine or software which inhibits or interferes with the running of the VANILLA TOURS Online Booking System or any booking concluded upon it is prohibited. Any action which creates a load on the VANILLA TOURS Online Booking System or infrastructure which may be considered unreasonable or disproportionate is prohibited.
No Guarantee of Continuous Access to Vanilla Tours System:
VANILLA TOURS do not guarantee continuous access without interruption to its Online Booking Systems, nor do VANILLA TOURS guarantee secure access to its services. The performance of the VANILLA TOURS Online Booking System may be interfered with by many factors outside our control.

Modifications to This Agreement:
VANILLA TOURS reserves the right to modify or change the terms and conditions of this agreement at any time without prior notice to you. Your use of this Online Booking System after any modification of this agreement constitutes an acceptance of any such modification.

Headings:
The headings used in these Terms and Conditions are included for convenience only and shall not define, extend, limit or otherwise affect these Terms and Conditions.

Force Majeure:
If as a consequence of Force Majeure, VANILLA TOURS is obliged to curtail, alter or cancel a booking, the Agent shall not be entitled to claim compensation for any loss arising as a consequence of the said curtailment, alteration or cancellation. The term "Force Majeure" includes but is not limited to acts of God, natural disaster, fire and any other destruction of any accommodation booked, riots, acts of war or civil commotion, exercise of legislative, municipal, military or other authority, strikes, industrial action or any other reason beyond the control of VANILLA TOURS.

Entire Agreement:
These terms contain the entire agreement between VANILLA TOURS and the Agent and supersedes any prior understandings or agreements (whether oral or written) regarding the subject matter and may not be amended or modified unless expressly agreed by VANILLA TOURS in writing.
